Carefully read the following terms and conditions of this agreement. By accessing and using the web services of Haloweb Services, Inc. (“Haloweb Services”), you (“Customer”) indicate the acceptance of the following terms and conditions and you agree to be bound by them. IF YOU DO NOT AGREE TO BE BOUND BY THIS AGREEMENT, DO NOT ACCESS OR USE THE HALOWEB SERVICES WEBSITE SERVICES.

This agreement constitutes the complete and exclusive statement of the agreement between you and Haloweb Services with respect to the Haloweb Services Website Services.

Now, therefore, in consideration of the mutual covenants set forth herein, Haloweb Services and Customer agree as follows:

1.Order Acceptance, Payment.

A)  All orders are subject to acceptance by Haloweb Services. An order will be deemed accepted by Haloweb Services when Haloweb Services sends confirmation of the order to Customer.

B)  Haloweb clients hereby agree to pay the monthly agreed fee no later than 7 days past the anniversary of a hosting month . Haloweb Services reserves the right to change the amount of, or basis for determining, any fees or charges and institute new fees and charges upon prior notice to Customer. All monthly fees and set-up fees shall be due in advance of the month incurred and all additional charges shall be due every month on that day which such charges are incurred. Except as provided in Section 3, the set-up fees are non refundable for Services such as Domains and Traffic and Haloweb Services does not issue pro rata refunds for fees paid in advance. Haloweb Services may, at Haloweb Services discretion, suspend or terminate access to the Haloweb Services Website Services and/or terminate this Agreement. Customer’s right to use the Haloweb Services Website Services are subject to any limits established by Haloweb Services. A 15-Day grace period may be given to correct unpaid balances.

C)  Hosting Plans / Contracts purchased on a yearly basis are non refundable should the client decide to terminate early for whatever reason, the hosting account / product / service will however remain active for the full duration paid for.

2.Haloweb Services Website Services.

A.During the term of this Agreement, Haloweb Services shall provide software services to Customer according to the Package(s) accepted by Customer (the “Haloweb Services Website Services”). “Package” means one of Haloweb Services business and/or electronic commerce service offerings, as can be found on Haloweb Services Web site at https://www.haloweb.co.za. The specific Package to be provided to Customer shall be established by correspondence between Haloweb Services and Customer. Such Package shall be deemed incorporated by reference into this Agreement, as if fully set forth herein.

B.At Customer’s request, Haloweb Services will acquire an Internet Second-Level Domain Name (“Domain Name”), from the Contracted Registrar on behalf of Customer which is renewable on a yearly basis and will be charged to the clients account for the clients cost and not that of Haloweb.co.za or Riley Internet solutions cc. Customer’s request for and/or acceptance of a Domain Name obtained by Haloweb Services shall in all cases constitute Customer’s waiver of any and all claims which Customer may have, or which may later arise, against Haloweb Services or its third party providers, for any and all damages, losses, claims or expenses arising our or related to the acquisition, registration and/or use of the Domain Name. Any cost incurred by Haloweb Services to obtain and/or maintain the Domain Name on behalf of Customer shall be charged to Customer by Haloweb Services. Request for and acceptance of a domain name requires Haloweb Services to supply the domain name to the Contracted Registrar, which in turns supplies the Domain Name to third parties. Haloweb Services will be the sole billing and technical contact for the Domain Name.

C.Exceeding Web Site Traffic Limitations: If a site exceeds its maximum monthly allotment of traffic, the site will become unavailable until the beginning of the next calendar month unless customer chooses to upgrade his/her hosting package. Unavailability includes but may not be limited to the inability to access the site publicly or to publish to or modify the site’s contents via certain Web creation tools. Haloweb Services will not be held responsible for any material or loss of income as a result of site unavailability.

3.Limited 15-Day Money-Back Guarantee and Refunds.

Haloweb Services offers a fifteen (15) day money back guarantee on each Hosting Package, but not including Traffic, Domain and other services. If Customer is not completely satisfied with the Haloweb Services Website Services provided under such Package within the first fifteen (15) days, Customer may cancel this Agreement by notifying Haloweb Services via e-mail to the address listed in Section 7C. In such case, Customer will receive a full refund of any amounts paid pursuant to this Agreement, except for any set-up fees if applicable, which are non refundable. After the initial fifteen (15) day period, the Haloweb Services Website Service shall be deemed accepted for all purposes, provided no written claim has been received by Haloweb Services within such fifteen (15) day period. Hosting accounts that are terminated due to abuse, illegal activity or breach of this agreement in anyway are non-refundable.

4.Rules and Regulations.

From time to time Haloweb Services may impose reasonable rules and regulations regarding the use of the Haloweb Services Website Services. Such rules and regulations are called acceptable use policies.

A.Illegal use. Using the Services to transmit any material that, intentionally or unintentionally, violates any applicable local, state, national or international law, or any rules or regulations promulgated thereunder.

B.Fraudulent activity. Using the Services to make fraudulent offers to sell or buy products, items, or services or to advance any type of financial scam.

C.Unauthorized access. Using the Services to access, or to attempt to access, the accounts of others, or to penetrate, or attempt to penetrate, security measures of Haloweb Services whether or not the intrusion results in the corruption or loss of data.

D.Copyright or trademark infringement. Using the Services to transmit any material (by email, posting, or otherwise) that infringes any copyright, trademark, patent, trade secret, or other proprietary rights of any third party, including, but not limited to, the unauthorized copying of copyrighted material, the digitization and distribution of photographs from magazines, books, or other copyrighted sources, and the unauthorized transmittal of copyrighted software.

E. Adult Oriented Websites. We do not host adult websites or websites of a sexual orientation whatsoever.

F. SPAM. Transmitting mass e-mail to an untargeted audience and/or that has not opted to receive such an e-mail. We have a zero tolerance SPAM policy. Any account that is utilized to send out SPAM will be terminated without notice. Any account terminated for SPAM is subject to a R500 administration fee, this fee will be charged directly to the client on file. In addition, any losses incurred by Haloweb Services because of said action will be the direct responsibility of the account holder.

Email Lists And Newsletters.

Email lists and newsletters will only be permitted to be sent from our servers under the following conditions.

1. Clients sending to email lists and newsletters must provide proof that the subscribers are double optin subscribers who have agreed to receive your emails.

2. Software used must make use of the bounce system for email addresses which are no longer valid.

3. Software sending the emails must use your domain as the sending domain and not the nobody parameter.

4. A Un-subscribe link as well as your postal address must appear at the bottom of each message sent (footer).

G. Over-Excessive Load on Server. If a website is deemed to occupy an over-excessive amount of load on the server which interupts services or other user functionality, the account holder will receive warning to reduce the load of the site or upgrade to a dedicated server. If load is not reduced or account upgraded, the account may be terminated. If the load is effecting server performance dramatically an immediate suspension may be performed.
H)  Haloweb services performs weekly server backups on server files and not in client websites unless requested to do so at a nominal monthly fee or it is part of the clients hosting package, nonetheless it is the responsibility of the account holder to ensure that regular backups are made of all, databases and files within the their account, Cpanel provides this functionality as well as various services and software’s available on the internet.

5.License Grant.

During the term of this Agreement, Haloweb Services grants to Customer a non-exclusive, personal, non-transferable license to access and use the Haloweb Services Website Services solely on and as part of Haloweb Services World Wide Web site and servers. Haloweb Services may modify the Haloweb Services Website Services at any time for any reason and may provide modified versions of the Haloweb Services Website Services to Customer.

6.Intellectual Property Rights.

Customer acknowledges and agrees that the Haloweb Services Website Services constitute confidential and proprietary information of Haloweb Services and its licensors and embodies trade secrets and intellectual property of Haloweb Services and its licensors protected under South African copyright and other laws and international treaty provisions. Customer further acknowledges that all right, title, and interest in and to all parts of the Haloweb Services Website Services, including, without limitation, associated intellectual property rights, are and shall remain with Haloweb Services and its licensors. Customer shall not, and shall cause its employees and agents not to, disclose or transfer any portion of the Haloweb Services Website Services to any third party. Customer further agrees not to translate, decompile, reverse engineer, disassemble, modify, reproduce, rent, lease, lend, sublicense, distribute, remarket or otherwise dispose of any portion of the Haloweb Services Website Services. Customer hereby acknowledges that, if Haloweb Services at any time or from time to time performs any customizations or modifications to Haloweb Services Website Services, all rights and interests to such customizations or modifications shall be the sole property of Haloweb Services.

7.Term and Termination.

A.This Agreement shall have an initial term of one (1) month and shall thereafter automatically renew for successive one (1) month periods. This Agreement and Customer’s access to the Haloweb Services Website Services shall terminate as follows: (i) Either party may terminate upon thirty (30) days prior notice; (ii) Haloweb Services may immediately and without prior notice terminate upon a violation by Customer of Haloweb Services acceptable rules and regulations; (iii) Haloweb Services may terminate immediately and without prior notice in accordance with Section 1; and (iv) Haloweb Services may terminate immediately if, after 15 days prior notice to Customer, Customer has failed to correct any breach of this Agreement.

B.Upon any termination in accordance with Section 7(A)(i), Haloweb Services Shall permit Customer forty-eight (48) hours to download or otherwise copy any of Customer’s information and data residing on Haloweb Services facilities prior to removing such information and data from Haloweb Services facilities. Upon termination by Haloweb Services under Sections 7(B)(ii), (iii) or (iv), Haloweb Services may immediately remove all of Customer’s data and information from Haloweb Services facilities and Customer shall have no right to copy or download such data or information, and, in such event, all such information and data, including all copyrighted or copyrightable material therein, shall then become the property of Haloweb Services. In cases where Customer’s account has been cancelled, and Customer is requesting reactivation, Haloweb Services, at it’s option, may reactivate the same account, only if the account had been cancelled less than sixty (60) days prior. After sixty (60) days, Customer will be required to set up a new account.

C.To cancel a Haloweb Services Website Service. Customer should contact Haloweb Services via e-mail.

D.Sections 1, 6, 8, 9, 10, 11, 12, 13, and 14 shall survive any termination of this Agreement.

8.Exclusion of Warranties.

Haloweb Services PROVIDES THE Haloweb Services WEBSITE SERVICES ON AN “AS IS” BASIS, AND WITHOUT ANY WARRANTY OF ANY KIND, whether express or implied, including, but without limitation, any implied warranty of merchantability, or fitness for a particular purpose.

While Haloweb Services makes reasonable efforts to maintain the Haloweb Services Website Services, many factors are not within Haloweb Services control. Therefore, Haloweb Services does not warrant, and is not responsible for (even if caused by the negligence of Haloweb Services) any loss of data, delays, non-delivery or mis-delivery of information, lack of access, slows response time, or service interruptions or errors. Loss, delay or non-delivery of data can be due to but not limited to Haloweb Services own negligence, viruses or other third parties. Customer’s data is defined as any data held by Haloweb Services and includes account information, web hosting data, email and domain name services. This disclaimer and waiver shall apply equally to any and all third party providers.

Haloweb Services has the right to change prices, or add or delete product features of any existing product or service. The right to change packages or services extends to any product or service. Haloweb Services reserves the right to change prices or material features at any time upon 30 days prior notice. Haloweb Services reserves the right to institute new fees or new material features at any time upon 30 days prior notice. Haloweb Services has the right to discontinue products or services and the right to remove or reassign IP addresses of a customer’s web site. Haloweb Services also has the right to deactivate a customer’s service with a thirty (30) day notice. You assume full responsibility and risk for use of the services and the Internet and are solely responsible for evaluating the accuracy, completeness, and usefulness of all services, products, and other information, and the quality and merchantability of all merchandise provided through the service or the Internet.

9.Limitation of Liability and Damages.

THE TOTAL AGGREGATE LIABILITY OF Haloweb SERVICES TO CUSTOMER SHALL BE LIMITED TO THE AMOUNT PAID TO Haloweb Services BY CUSTOMER HEREUNDER DURING THE THREE MONTHS IMMEDIATELY PRECEDING A CLAIM IN WHICH Haloweb Services IS LIABLE TO CUSTOMER. IN NO EVENT SHALL Haloweb Services BE LIABLE FOR ANY INDIRECT, SPECIAL, EXEMPLARY, PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES, LOSS OF PROFITS OR LOSS OF BUSINESS, REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED UPON BREACH OF CONTRACT, TORT, OR OTHERWISE AND WHETHER OR NOT Haloweb Services HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10.Confidentiality.

Customer acknowledges that by reason of its relationship with Haloweb Services, it may have access to certain information and materials relating to Haloweb Services business, customers, software technology and marketing which Haloweb Services treats as confidential (collectively “Confidential Information”). Customer shall: (i) hold in confidence, and not disclose or reveal to any person or entity, any Confidential Information without the clear and express prior written consent of a duly authorized representative of Haloweb Services; and (ii) not use or disclose any of the Confidential Information for any purpose at any time, other than for the limited purpose of performance under this Agreement. These obligations shall continue indefinitely for so long as the Confidential Information is a trade secret under applicable law and shall continue for two (2) years following termination of this Agreement with respect to Confidential Information, which does not rise to the level of a trade secret.

11.Indemnification.

Customer shall indemnify and hold Haloweb Services harmless against all third party claims, demands, suits, actions, judgments, losses, costs, damages (direct, indirect and consequential), attorney’s fees and expenses that Company may sustain or incur by reason of any breach or alleged breach of any term or condition of this Agreement (including reasonable attorney’s fees) and for any act or omission of Customer or its clients which are in any way related to the Haloweb Services Website Services.

13.Force Majeure.

Either party shall be excused from any delay or failure in performance hereunder caused by reason of any occurrence or contingency beyond its reasonable control, including but not limited to, acts of Nature, labor disputes and strikes, riots, war, and governmental requirements. The obligations and rights of the party so excused shall be extended on a day-to-day basis for the period of time equal to that of the underlying cause of the delay.

14.Miscellaneous.
Customer may not assign its rights or delegate any of its duties under this Agreement without our prior written consent of Haloweb Services, and any attempted assignment or delegation without such consent shall be void. If one or more provisions of this Agreement shall be held to be invalid, illegal, or unenforceable, the validity, legality and enforceability of the remaining provisions shall not be affected or impaired thereby. Nothing in this Agreement or in the understanding of the parties construes upon the parties the status of partners. Haloweb Services may subcontract any work, obligations or other performance required of Haloweb Services under this Agreement without consent of Customer. Other than the termination of this agreement, all notices provided hereunder sent by email, mail or certified mail to Haloweb Services, will be effective upon transmission. Haloweb Services has the right to amend the Agreement from time to time, and will do so by posting the new Agreement on the Haloweb Services web site under the Service Agreement link on the footer of the main page.

 

Fibre Services:

Fibre Broadband Access is supplied as a best effort service by the supplier. Areas marked as available on the map may not be Fibre ready at your particular address due to a number of factors. Should we not be able to proceed with your application we will advise you thereof. Installations are typically completed within +- 30 days, this time frame is however not guaranteed.

Fibre installations are subject to an installation and connection fee. Additional fees may apply should trenching be required to complete the installation, Haloweb will make any additional charges known to the client and the client will be required to accept or reject these charges before the order is completed. Please note that should the service be ordered and the incorrect address is supplied, the client will be responsible for all charges relating to the order placed at the incorrect address.

An additional fee will be charged for re-grading the speed of a fibre line as well as outdoor transfers (new address) and transfers between Service Providers. Cancellations for fibre lines must be submitted via the Client Control Panel at least 30 days before the cancellation date. Transfers between Service Providers are handled in the same manner as a new installation and are typically completed within +- 30 day, this timeframe is however not guaranteed.

An additional fee of up to R2 000.00 may be charged on faults logged which are found to be caused by faulty hardware or user error. This amount will be charged to your account once we are advised of the charges by the Supplier.

By completing the order it is deemed that consent has been received from the landlord, owner or body corporate for the installation of the service.

Capped Services

Rollover of Data
Should you not use all of your purchased data within a month (1st to last day of each month); the unused data will carry over to the following month for a period of 3 months. As your data is exhausted the unused data from the oldest months accumulated data will be added to your service.

EXAMPLE
You have not used up all your data for June, July and August. In September you run out of data, we will automatically allocate the unused data from June to your data service first. If you deplete this data too, we will automatically allocate the unused data from July and if you deplete this, we will automatically allocate the data from August. If you reach the end of September and you only needed to use your rollover data from June and July, the unused data from August will be available to use in October. Rollover of Data is only applicable to services which are paid up to date and are renewed monthly. If your debit order or credit card payment fails for any reason all data that has accumulated will fall away and will not be re-allocated on payment for the service. Should you cancel your service any data accumulated data will fall away.

 

DSL Services:

We offer two types of DSL services, namely Monthly and Prepaid services.Monthly Billed Services:

  • ADSL
  • Uncapped
  • DSL Lines
  • All Hosting services

Prepaid Billed Services:

  • Prepaid
  • Hotspot Prepaid
  • DSL Vouchers

The maximum achievable speed on all DSL Data services is 40 Mbps. If you are using a Fibre Line and would like to achieve speeds higher than 40 Mbps, please consider using our Fibre Data services.

The Acceptable Use Policy for all Uncapped services (including discontinued services) can be found are in affect. By accepting the Terms and Conditions, you also agree to the afore-mentioned AUP.
All uncapped services are billed within a calendar month (1st to last day of every month). Your proof of payment is to reach us before 5pm on the last day of the month to prevent service interruption on the 1st of each month.

Prepaid services are a once off purchase and are valid for a period of 12 months (1 year), you are able to top up the prepaid service with additional bandwidth of the same service type at any time, with each top up the validity of the prepaid service will be extended with an additional 12 months (1 year).

Capped Services

Uncapped Services

Uncapped services are designed and intended for personal use only. The Uncapped Services may not be repackaged/broken down and sold to 3rd parties, may not be used to provide network services like hosting/mail/ftp/backhaul for Wifi/internet cafes and other networks. The use and/or exploitation of our uncapped services for commercial use is strictly prohibited. (We have very competitive Per Gb pricing for commercials).

The Acceptable Use Policy for the just/yourSurf, Uncapped, justUncapped Express+/ADSL Uncapped Fibre and Business Uncapped can be found here. By accepting the Terms and Conditions, you also agree to the afore-mentioned AUP.
All uncapped services are billed within a calendar month (1st to last day of every month). Your proof of payment is to reach us before 5pm on the last day of the month to prevent service interruption on the 1st of each month.

Combo Services

  • Combo Pricing
    Combo pricing applies to one data service and one adsl line tied together as a combo. The process of transferring/activating the ADSL line takes place at the time of the order and cannot be ordered for a future date. Once a service is combined, the DSL service will be locked down to the DSL Line, the service cannot be used on a different DSL Line.
  • Line Transfer Combo
    On initial sign up a discounted amount will be billed for the data portion of the combo and there will be no charge for the transfer of the ADSL line if it take place in the current month. A discounted amount will be billed on transfer of the ADSL Line at any time other than the current month. The full combo price will be billed on the 1st of the following month.
  • New Line Combo
    A discounted amount will be billed for the data and ADSL Line once the ADSL Line is activated by Telkom. The service on the combo will be activated once payment is received for the amount billed. The full combo price will be billed on the 1st of the following month.
  • Permanent Upgrade/Downgrade of Combo
    In order to upgrade/downgrade your existing combo you will need to first split the combo. Once the combo has been split, the changes can be made and the services can then be combined again. The new combo price will be billed on the 1st of the following month.
  • Cancellations
    In order to cancel one or both services within a combo it is necessary to first split the combo. Once the combo have been split the desired changes can be made.
  • Splitting Combos
    When combos are split they will be billed at the stand alone price per service.
  • Combining Existing Services
    When services are combined the combo price will apply from the 1st of the following month.

Telkom ADSL Lines

By purchasing/applying for an ADSL Line service it is agreed that you accept and agree to the Terms & Conditions as stated below:

I/We hereby authorise Haloweb DSL to apply for a new convert, migrate, migrate back, convert back of my/our ADSL Line from Telkom SA Ltd or my current ADSL Line Supplier on behalf of Telkom:

In order to apply for an ADSL Line, you are required to have an active monthly billed telephone line with Telkom SA Ltd. ADSL Lines remain the property of Telkom SA Limited, installations and repairs remain their responsibility. ADSL Line sizes are supplied at the maximum stable speed available that is requested by the client, the Telkom SA Ltd network is supplied as a best effort network and therefore service cannot be guaranteed. Telkom SA Ltd. runs automated health checks on all ADSL Lines and might adjust the speed of your line in order to supply the best service possible. Should you experience complete downtime on your ADSL Line for a period exceeding 24 hours, a dispute will be logged with Telkom SA Ltd once the fault has been cleared requesting a credit for the period the line was down. Once this credit has been issued, the client’s account will be credited accordingly. Haloweb DSL  will on behalf of our client as far as possible deal with Telkom SA Limited on the client’s behalf. Should a fault be logged with Telkom SA Ltd. on the client’s ADSL Line which results in a Technician being dispatched and it is found that the fault is due to faulty equipment or incorrect setup of equipment by the client an Unnecessary Call-Out charge may be charged to the client’s Haloweb account. Any credit due to the client by Telkom SA Limited after the transfer of their ADSL Line to Haloweb DSL remains the responsibility of Telkom SA Limited and the client will need to converse with Telkom SA Limited directly to arrange this if not done automatically. The activation of a new line is dependent on the exchange being ADSL ready as well as ports being available, the activation of a new line, cancellation, upgrade/downgrade or transfer is dependent on Telkom SA Limited as such cannot be guaranteed by Haloweb DSL. Telkom SA Limited do not allow two actions to be performed at the same time, we are therefore not able to perform a transfer and an upgrade/downgrade at the same time, we need to process each action separately.

In order to transfer an existing ADSL Line from Telkom/another ISP to Haloweb DSL it is necessary for the client to request their current ISP/Telkom to perform a migrate back application. Only once the migrate back application has been completed will Haloweb DSL  be able to apply for the transfer. During this process of transfer between ISP’s/Telkom the ADSL line will be in a suspension state with no ADSL access. The client has 30 days from the date of the migrate back application to request re-activation of the ADSL Line, if the re-activation is not done within 30 days, the ADSL Line will be completely cancelled. Applications received where the incorrect number has been supplied by the client will be charged for until the application has been cancelled by Telkom. No refund requests will be considered where the incorrect number was supplied on application.

The client will continue to be billed by Telkom SA Limited for the telephone/fax line rental and telephone/fax calls as well as any other services provided to them directly by Telkom. Should your line be suspended by Telkom SA Ltd, the ADSL service on your line will not be usable until Telkom SA Ltd have lifted the suspension on the line.

The ADSL line rental will be billed to the client by Haloweb DSL PTY (Ltd) together with any other services provided to them. On completion of a new, transfer or upgrade/downgrade of an ADSL Line an invoice will be generated and debited via the clients nominated payment method.

Should your debit order payment against your bank account or credit card be returned (initial and monthly) unpaid the ADSL Line will be migrated back if the outstanding amount is not settled within 7 days. A migrate back will result in the ADSL Line being suspended and completely cancelled 30 days thereafter if the outstanding amount is not settled.

Payment for the rental of the ADSL Line is due before the 1st of every month, failure to pay will result in the ADSL line being migrated back. Should you approach Telkom directly to have your telephone number ported, the ADSL service on your line will automatically be cancelled. Please advise us of your intent to port (move) your telephone line to a new address so that we may arrange for the ADSL line to be moved together with your telephone line. Should an incorrect telephone number be provided for the ADSL line and the service is successfully activated, the client will be liable for any costs arising from the activation of the ADSL Line service.

Please also note that ADSL lines are not cancelled during the month but only at the end of the month, if you wish to have your line cancelled during the course of a month you will not be refunded any monies already paid for that month.

Please be aware that Telkom do not allow us to submit cancellations for a specific date. In an effort to avoid the cancellation or migrate back of the line taking place before the last day of the month we submit these applications on the last 2 working days of every month. It is possible that the cancellation/migrate back will be actioned before the last day of the month or only take place the following month.

Please note that as standard practice the up to 20Mbps VDSL service is activated by Telkom as an ADSL2+ service which has a lower upload speed than the VDSL service. Please contact us on 0861 300 900 or [email protected] should you wish to change to VDSL. We will then submit a request to Telkom to have the line changed to VDSL if possible. The upload speeds for up to 20mbps ADSL2+ are 1Mbps and the upload speed for up to 20Mbps VDSL is 2Mbps.
